POLICIES FOR DEALERS & GENERAL INFORMATION
HOW TO ORDER:
Pepco Poms sells only through our distributor network. To find a dealer near you, ask for Pepco Poms at your local sporting goods, cheerleading specialty shop or ad specialty reseller.
PLEASE NOTE:
By submitting a purchase order to Pepco, the customer agrees that the transaction will be bound by the terms and conditions listed within this catalog and cannot be superseded by any terms, conditions or provisions contained in the customer’s purchase order and/or vendor’s agreement. Terms and Conditions set forth herein are subject to change without notice.
Intended Use of Products:
The products offered within this catalog are intended for the general use of consumers of all ages and are not primarily intended for children 12 years of age or younger.
Statement of Limited Liability:
Our Order Solutions Department must be notified of any quality issues regarding merchandise or imprint within 15 days of delivery of order. In the event of a defect in material or workmanship, Pepco will replace the defective merchandise or refund the purchase price at the factory’s sole discretion. Pepco’s liability shall not exceed the purchase price of the product.
Force Majeure:
Pepco is not liable for non-fulfillment due to strikes, fires, weather, customs delays, inability to obtain raw materials, or other causes beyond our control. All sales are subject to our conditions of sale. We are not liable for consequential or special damages due to any delay.
Disputes:
To the extent not subject to federal law, all questions concerning these terms and conditions shall be interpreted and enforced in accordance with the laws of the State of Texas as applied to contracts which are executed and performed entirely within the state. Pepco and the distributor each agree consent to the jurisdiction of any court located in Wharton County, Texas with subject matter jurisdiction thereof, and consents and agrees to the venue of Wharton County.
Trademarks:
The names, artwork, designs, logos, copyrights, wordmarks, and trademarks or similar (Intellectual Property) reproduced throughout this catalog are solely intended to show the type and quality of imprinted products available. It does not imply a product/service endorsement by Pepco, nor does it imply an endorsement of Pepco by the respective owners of the marks. All copyrights, wordmarks, and trademarks are the property of their respective owners. No intent of infringement has been made in this catalog. It is intended solely for the education of the reader.
Intellectual Property Use:
The customer represents and warrants that they have the authorization to order, purchase and distribute merchandise containing the Intellectual Property identified in the purchase order. The customer also agrees to indemnify, defend and hold harmless Pepco and its parent company, from and against all claims, liabilities and expenses (including attorney’s fees) arising out of or related to an actual or alleged infringement or misappropriation of any Intellectual Property. This provision will continue to remain in effect after the delivery of the merchandise. Unless indicated on purchase order at the time of order in writing, Factory reserves the right to use any items produced in displays, advertisements, catalogs, brochures and other promotional uses without liability to trademark, copyright or other proprietary rights.
Product Limitations:
Pepco does not guarantee signs and magnets against loss or damage of surface, as Pepco has no control over how signs and magnets are cared for, altered, stored, used, and the surface for which they are applied. Stadium cups and Non-PET bottles are top rack dishwasher safe. PET Bottles are hand wash only. Due to variables beyond the Pepco’s control, imprint durability is not guaranteed. Samples:
Pepco provides promotional product samples up to $20 at no charge with shipper number and method. Samples may include misprints, overruns, and other abnormalities. Contact sales@pepcopoms.com for specific sample needs.
Samples of cheerleader poms or cheerleading megaphones are available for purchase. To request, please send a shipping account number and shipping method to sales@pepcopoms.com.
Pre-production samples are recommended on large orders and are available for $50.00 plus applicable setup and run charges. Requesting pre-production samples adds 5 days to production.

Quotes issued by Pepco are for price and/or delivery only and do not guarantee acceptance of order. All orders are subject to Pepco’s acceptance, terms and conditions.

Order Information:
Orders must be received by 3:00 pm CST during business hours. Orders received after that time will be considered received the next business day.

Order Acknowledgment:
Pepco will acknowledge receipt of an order via email within 24 hours of receipt. This verifies receipt and does not confirm the accuracy or that all required information is included.
Order Confirmation:
Once your order is accepted, an order confirmation will be sent via email. If at any point changes are made to the order, a new order confirmation will be sent reflecting the changes. Please review the confirmation for accuracy and contact us immediately to correct any errors. We will consider a non-reply as acceptance of accuracy, price and schedule.
Order Changes:
All changes must be confirmed in writing by Pepco. Changes made after the order is entered will incur a $5.00 change fee plus any additional charges. If a change in quantity occurs after the completion of any portion of production, the distributor is responsible for all work done and billed accordingly. Any changes made after the start of production may delay shipments. Shipping changes must be submitted 2 days prior to ship date. Changes made to copy or ink color will incur a $30.00 fee per change and an additional set-up fee when applicable.
Cancellations:
All cancellations must be submitted in writing and confirmed by Pepco. Cancellations are subject to a $30.00 change fee plus and all work performed.
Returns:
All returned merchandise must include an RMA (Return Merchandise Authorization) issued by our Order Solutions Department. The RMA number must be clearly marked on the outside of every carton returned. Unprinted merchandise will be subject to a 30% restocking fee.
Payment:
Pepco accepts checks and major credit cards including Visa, MasterCard and American Express. All accounts are on pre-payment or credit card basis until credit is established. Credit Card payments that are declined will incur a $10 fee. Past due invoices are subject to a $10 per month late charge. Customers with accounts requiring collections will be liable for all associated costs including legal fees. All returned checks will incur a $50.00 charge.
Customers outside the U.S. must send a wire transfer, drawn on a U.S. bank.
NET 30 Terms:
Pepco offers NET 30 terms for established credit distributors only. A review of credit application for new customers may take up to 2 weeks. For rush orders, we recommend payment by credit card. We reserve the right to revoke credit terms without notice.
Production Information:
Pepco works diligently to assure your orders are fulfilled as quickly as possible. Standard production time is 7 - 10 business days. Production starts once the art is approved, the order confirmation is received and prepayment is received and/or account is current.
Please note the in-hand date must be clearly stated on the purchase order and must fall within the factory production schedule. Production time does not include the day the order was received.
From the beginning of July to the end of October production time may be longer.
Rush Order Services:
Rush orders are considered if the production schedule allows but are not guaranteed and must be approved by production before submission. Expedited shipping charges and Rush Fees up to 30% of the total order may apply.
Inventory Availability:
Most products are manufactured in-house to meet order requirements. However, we cannot guarantee inventory availability. All orders are subject to acceptance based on inventory availability at the time. If applicable, we will work with you to find an appropriate substitute.
Pepco accepts no liability for the inability to ship due to stock shortages.
Packaging:
All products are packaged in bulk. Foam products are shipped compressed at no extra charge. If there are special packaging requests, call or email sales@pepcopoms.com for availability and quotes.
Shipping:
FedEx and UPS are scheduled for pick-up daily. FedEx is our preferred carrier. Shipping is available via UPS with a shipper number.

3rd Party Billing:
Orders shipped using a 3rd party account number will be charged a flat $5.00 per shipment fee and distributor assumes responsibility for the shipment for the time the order is ready for pick-up.
Drop Shipments:
Add $10.00 plus shipping charges per additional destination. Please provide all addresses.
Split Shipments:
Add $10.00 plus shipping charges per destination and/or ship date. Please provide all quantities and ship dates.
Full Truck or LTL Shipments:
Add $10.00 per pallet for palletizing and shrink wrapping for all shipments. For distributor arranged freight a flat $20.00 (V) per shipment will be charged and distributor assumes responsibility for the shipment for the time the order is ready for pick-up.
US Postal Service:
$20.00 plus postage for delivery to Post Office. This fee is waived if shipping to a military base.
Export Documentation:
$20.00
Address Correction:
If the freight carrier notifies us of an incorrect shipping address, an address correction charge of $20.00 (Z) will be invoiced. Event/In-hand Dates: Date requirements must be clearly stated on PO. Failure to do so may cause date to be missed. Pepco is not responsible for event dates not stated on PO and delays or damage by carrier. Pepco will ship, at our discretion, the least expensive way to meet event/in-hand date.
Freight Quotes:
Pepco makes every effort to provide accurate freight quotes. However, Pepco is not responsible for differences in the quoted estimate and the actual freight charge.
Product Shipping Weights:
Packaging weights and quantities specified are APPROXIMATE and subject to change. Variances may occur due to product density and carton availability. Weights represented are based on Actual Weight or Dimensional Weight where applicable. Dimensional weight is determined based on current carrier guidelines for domestic shipments.

Product Safety & Compliance:
Pepco is committed to product safety and compliance. Our products, raw materials and inks are safe and are tested by CPSC-approved third-party labs to ensure that they comply with Federal regulations and CPSIA. General Certificates of Conformity (GCC) are available by emailing compliance@pepcopoms.com
California Proposition 65:
Prop 65 requires businesses to provide a "clear and reasonable warning" to consumers if a product exposes consumers to a list of over 800 chemicals. If shipping to California, it is the distributor’s responsibility to notify Pepco if any or all of the order requires this labeling. Contact our compliance department at compliance@pepcopoms.com for pricing. Prop 65 statement label will read as follows: “WARNING: This product may contain chemicals known to cause cancer, birth defects or other reproductive harm.”
ART GUIDELINES:
All artwork must be supplied in a digital format. There is a $15.00 charge for art not submitted digitally. Fonts must be converted to outlines or curves. If converting the fonts is not possible, send the font file with the art. (Typically a *.ttf or *.otf file on a windows machine). All images submitted are printed as is and scaled as needed unless otherwise specified. It is your responsibility to have all images proofed and adjusted to your satisfaction before submission. Templates show cut lines and live areas. Items that are available in four color process include bleed lines.

Virtual Proofs:
One emailed virtual proof is included for each product ordered at no additional charge. Please allow 24 to 48 hours. Estimated production time/ ship date may change depending on art or proof approval. When requesting a virtual proof, please include correct copy, orientation specifics, and color specifics.
Typesetting:
Basic typesetting up to 4 lines or 50 characters is $10.00 . Price includes one emailed digital proof of typeset art and one revision. Additional revisions will incur a charge of $10.00 (V). Typesetting beyond basic will incur an art charge.
Product Imprint Colors:
Product colors in this catalog are meant to replicate product colors. Actual colors may vary from one production to the next. If you are unsure of a color, please request a current production sample or swatch.
Registration:
A registration variance of plus or minus 1/32” may occur with multiple imprint colors and is considered acceptable registration.
PMS Color Match:
Pepco offers a PMS color match for $30.00 per color. If an imprint color other than our standard imprint colors is required, a matching charge will apply. Please specify a PMS number for reference. Variations in ink formulations are beyond our control therefore, an exact match is not guaranteed. When printing on a colored substrate, ink color may be altered making a match difficult. If the color is critical, we recommend getting a pre-production sample.
Metallic Imprint Colors:
Pepco offers metallic imprint options for $40.00 per color.
Art Charges:
Complex typesetting, art clean-ups and redraws, and art creation is billed at $50 per hour, half hour minimum.
Artwork Transfer:
Artwork cannot be transferred from one distributor to another without written authorization of the original distributor or artwork owner.
Variable Data Requirements:
Available on select products. Font style is required for variable data. Send a data list in a spreadsheet *.csv or *.xls,*.xlsx file format when requesting text or numerical variable data. All artwork files must be supplied and a variable data running charge, along with a variable data set-up will apply. For variable image data, all artwork must be supplied. We do not guarantee that there will not be any missing data. All digital file requirements apply for variable data images.
Variable Data Set-Up Charge is $50.00
Reproduction of Art:
Due to the textures and surfaces of products such as pennants and foam, it may be difficult to reproduce art with extremely sharp detail, fine lines or halftones. Generally, darker inks reproduce better on lighter surfaces or substrates. Please note: due to the taper of stadium cups and megaphones, some artwork may appear distorted when printed.
Printing Methods:
Screen Printing
The direct imprinting of a design or copy onto the surface of a product. Ink is pressed through an image tension nylon mesh, leaving a paint-like appearance. Sharper imprint than Pad Printing but requires a relatively flat surface without obstructions. Artwork should be supplied in a vector format or be simple black and white images. For files that contain raster images, art charges will apply. Halftones are to be no more than 55 line screen at 100% with 25%-75% shading.

Pad Printing:
An inked image is transferred from a laser etched plate to a thin, soft, silicone pad, which is then pressed against the part to transfer the image to the part. The pad can wrap itself as much as 150° around a small part and produces excellent ink coverage. Artwork should be supplied in a vector format or be simple black and white images. For files that contain raster images, art charges will apply. Halftones are to be no more than 55 line screen at 100% with 25%-75% shading.

Digital 4-Color Process
Process that recreates images using patterns of tiny dots of CMYK ink. Pantone or PMS colors can be used as a reference for color matching but may not be reproduced precisely. If a specific color is required, please request color swatch samples. If Pantone colors are used in artwork, they will be converted to CMYK colors and matched as closely as possible. Some PMS colors fall outside the achievable CMYK gamut range. Metallic and neon colors cannot be printed in 4 color process. Artwork can be in either vector or raster images. Artwork supplied in raster image format must be 300dpi at size or pixelation may occur. Text print sizes on all digital items can be no smaller than 10pt font. Samples may be requested of font smaller than 12 pt.
